1. SCOPE OF APPLICATION

  • These Terms apply to all quotations, orders, contracts, and agreements for moldmaking, plastic part production, carbon composites, assembly, and engineering services.
  • All services comply with IATF 16949, ISO 9001, and are designed for 1+ million cycles.

2. CORE COMPETENCIES & EXPERTISE

  • Complete development cycle management, advanced injection molding, multi-material solutions, rapid prototyping, and turnkey project management.

3. QUOTATIONS AND LEAD TIMES

  • Quotation valid 30 days. Lead time: 45 days from order confirmation. Express service available. Total lead time: 2–3 months from order to delivery.

4. PAYMENT TERMS

  • Molds: 50% down, 50% after T0 trial. Parts: Net 30 (established), Net 15 (large orders), deposit for new customers.

5. PRICING STRUCTURE

  • EXW Foshan. Packaging and documentation included. Shipping, insurance, and taxes excluded. Special services and surcharges quoted separately.

6. TECHNICAL SPECIFICATIONS & QUALITY

  • <3% defect rate, 2–5% scrap rate. T1 trials, full documentation, 12-month warranty on molds/parts. Warranty exclusions and limitations apply.

7. MOLD OWNERSHIP & MANAGEMENT

  • Molds remain Haumann property until paid in full. Storage free for 12 months after T0 trial, then $200/month. Maintenance and modifications as quoted.

8. DELIVERY & SHIPPING

  • EXW terms. Customer arranges shipping/insurance. Haumann can assist at customer’s expense. Tracking provided.

9. SPECIALIZED APPLICATIONS

  • Automotive (IATF 16949, PPAP, traceability), EV chargers, lighting solutions.

10. CUSTOMER COMMUNICATION

  • Sales and technical support available. Written confirmation for orders. Regular updates and quality reports provided.

11. INTELLECTUAL PROPERTY & CONFIDENTIALITY

  • Customer designs protected under NDA. No reverse engineering. Haumann process IP retained. License for embedded Haumann IP in deliverables.

12. FORCE MAJEURE & BUSINESS CONTINUITY

  • Standard exclusions apply. Multiple facilities and supplier networks for continuity.

13. DISPUTE RESOLUTION

  • Hong Kong/China law. Arbitration or mediation preferred. English for EU/US, Chinese for China customers. Continued performance during disputes.

14. GENERAL PROVISIONS

  • Written amendments only, mutual agreement required. Version control applies. Severability of invalid provisions.

15. ENGINEERING CHANGE REQUESTS (ECR)

15.1 Definition and Scope

An Engineering Change Request (ECR) refers to any formal request initiated by the Customer or Haumann Technology Co. Ltd. to modify, update, or improve the design, specifications, materials, process, tooling, or documentation of a product or project after the original order confirmation.

15.2 Submission and Approval Process

  • All ECRs must be submitted in writing and include a detailed description of the requested change, justification, and all supporting documentation.
  • Haumann will review the ECR and provide written feedback, including feasibility, impact assessment, and a revised quotation if applicable, within 10 business days.
  • No changes will be implemented without written mutual agreement and confirmation of any revised costs, lead times, or technical requirements.

15.3 Cost and Lead Time Adjustments

  • Any costs incurred due to ECRs, including additional engineering, tooling, materials, or production adjustments, will be quoted separately and require Customer approval before implementation.
  • Lead times may be extended depending on the nature and complexity of the requested change. Revised delivery schedules will be communicated in writing.

15.4 Documentation and Communication

  • All approved ECRs will be documented as an addendum to the original contract or purchase order.
  • Both parties are responsible for maintaining clear records of all ECR communications and approvals.

15.5 Impact on Warranty and Liability

  • Changes implemented under an ECR will be covered by the standard warranty terms unless otherwise specified in the ECR agreement.
  • Haumann is not liable for delays or defects resulting from Customer-requested changes that deviate from original specifications unless agreed otherwise in writing.

15.6 Dispute Resolution

  • Any disputes arising from ECRs will be subject to the dispute resolution procedures outlined in Section 13 of these Terms and Conditions.

Acceptance: By placing an order, accepting quotations, or receiving deliverables, the Customer agrees to these Standard Terms and Conditions.
